Terms of Sale
1. Generalities
1 The present General Conditions shall be deemed to have been communicated to the Buyer from the moment the Buyer is notified of the website on which they are located or receives an offer from the Seller accompanied by these Conditions. Alternatively, they shall be deemed to have been communicated if the Buyer received them previously during their commercial relationship with the Seller; in all these cases, they shall be considered accepted by the Buyer, for all purposes, upon placing the order.
2. Objective and scope of the offers
2.1 Unless the seller makes a specific offer, the applicable prices are those appearing in the Seller’s price list in effect on the date the order is placed. When the seller has issued an offer, the prices and conditions of that offer shall refer exclusively to the products (specifications and quantities) specified therein and shall be valid for one month, unless otherwise stipulated.
2.2 The seller reserves the right to make any changes at any time, in particular with regard to the format, shape, color, dimensions or materials of the products, representations, descriptions and specifications presented in its catalogs or brochures.
3. Formalization of orders
3.1 It is important to receive a document with the company details together with the first order to open the customer account. Until such document is received, the order will not be processed.
3.2 All orders must be sent in writing in an official document of the company, bearing the company's seal, NIF and the signature of the responsible person. In the absence of this document, the order will not be considered received.
4. Payment terms
4.1 The Buyer’s order shall include the payment terms for the Supply. Previously specified payment terms may also be used within the framework of an ongoing business relationship agreement between the Buyer and the Seller. Such payment terms must comply with the provisions of Law 15/2010 of 5 July amending Law 3/2004 of 29 December establishing measures to combat late payment in commercial transactions, without in any case exceeding the maximum deadlines set therein. In any case, the payment terms shall always remain within the legal framework in force.
4.2 Payment will be made under the agreed conditions, to the Seller's bank account or by another agreed method. Payment will be made without any deductions such as non-agreed withholdings, discounts, expenses, taxes or fees, or any other deductions.
4.3 In the event of a delay in payments by the Buyer, the latter shall be required to pay to the Seller, without any requirement and as of the date of the payment due, the interest on the delayed payment, which shall be calculated in accordance with the provisions of Article 7 of Law 3/2004 of December 29. The payment of these interests shall not release the Buyer from the obligation to make the remaining payments in the agreed conditions.
4.4 In the event that the Buyer incurs delays in the agreed payments, the Seller may temporarily or permanently suspend the shipment of the Supply or the execution of the services associated with it, without prejudice to requiring the Buyer to make the overdue payments and, if applicable, to claim additional compensation for this suspension of the Supply or execution of the agreed services.
4.5 The failure to meet a deadline on the due date will automatically result in the expiration and exigibility of all amounts due by the defaulting Purchaser, regardless of the method of payment used (cheques, promissory notes or other means). The Seller reserves the right to suspend the performance of its own obligations until the full payment of the amounts due and to demand the compensation of costs provided for in Article 8 of Law 3/2004 of 29 December.
4.6 The equipment and materials ordered will be supplied under the reserve of ownership to the Seller until the total payment obligations of the Buyer are fulfilled; the latter shall be obliged to cooperate and take any necessary or appropriate measures and those proposed by the Seller to safeguard his ownership over such equipment and materials.
4.7 When payment periods coincide with holiday periods, no delays in payments will be accepted by the Seller, nor will any deferrals or circulars that would reject them be accepted. Likewise, any similar content within the terms of the order specified by the Buyer will not be accepted.
5. Delivery deadlines and conditions
5.1 The delivery period is understood to apply to the material placed in the position and in the conditions indicated in the accepted order. In the event that the delivery position is not specified in the order itself, the Supply shall be deemed to be located at the Seller’s factory or warehouses. For the delivery period to be binding on the Seller, the Buyer shall have strictly complied with the payment schedule, if applicable.
5.2 The deadlines are subject to the availability of the equipment and materials, and to any other existing circumstances that could influence, at the time of receipt of the order in written form by the Seller issued by the Buyer. Any subsequent extension or modification of the order will convert the order into a new order, restarting all processes and reviewing all conditions and deadlines again.

To ensure this, the Purchaser will always provide the invoice information for the sale. The Purchaser will determine the traceability of the material in question using that invoice.
8.11 For any return, the causes of which are the responsibility of the Seller, the procedure will be carried out in accordance with the applicable legal framework. In any case, the Buyer undertakes to notify the Seller of the incident in accordance with the established procedure, which includes obtaining the corresponding «Return Authorization» (RMA), in order to ensure a quick and effective solution.

9.1 The warranty covers the product's defect due to material, manufacturing or assembly defects caused during normal operating conditions for 12 months from the date of installation. If the date of installation is not known, the product warranty is valid for 18 months from the date of shipment recorded by VECTOR ENERGY GLOBAL SLU. However, the warranty period may vary depending on the purchase or installation contracts.
9.2 The guarantee expressed in paragraph 9.1 consists of repair at the seller’s workshops or the supply of a replacement item for the elements that have been recognized as defective, either due to material defects or manufacturing or assembly defects.

However, the repaired or replaced element shall have a 6-month warranty starting from its repair or replacement.
9.4 Damage or defects due to normal wear and tear resulting from the use of the equipment are excluded from the warranty. In addition, damage and defects caused by improper conservation or maintenance, improper storage or handling, abusive use, defective assembly, variations in the quality of the electrical supply, modifications made to the supply without the Seller’s approval and generally any cause not attributable to the Seller are also excluded from the warranty.
10. Limitation of liability
The Seller’s liability, its agents, employees, subcontractors and suppliers for claims arising from the fulfillment or non-fulfillment of their contractual obligations shall not exceed the basic contractual price in total and shall in no case include losses resulting from lost profits, loss of revenue, production or use, capital costs, costs of non-operation, delays and claims by the Buyer’s customers, losses of anticipated savings, or any other special, indirect or consequential damages.
Any facts that may lead to a claim by the Buyer alleging liability of the Seller as specified in this clause must be reported to the Seller from the moment that they are brought to the Buyer’s attention. The Buyer shall not take any action that prevents, hinders, distorts, or makes impossible the Seller’s assessment, analysis, and study of the facts, except for urgent actions that prevent further harm than the actual claim itself or when there is a clear high risk to the safety of persons.
The limitation of liability contained in this clause shall prevail over any other contained in any other contractual document that is contradictory or inconsistent with it, unless such provision restricts the Seller’s liability to a greater extent.
11. Export restriction
The Purchaser acknowledges that the products supplied by the Seller may be subject to local or international provisions and regulations regarding export control and that without the permits to export or re-export from the competent authorities, the supplies cannot be sold, rented or transferred, nor used for any purpose other than that agreed upon. The Purchaser is responsible for complying with such provisions and regulations.

He/She will also notify the termination of the cause, specifying the time within which he/she will fulfill the obligation/s suspended due to the same. The occurrence of a case of Force Majeure will entitle the Seller to a reasonable extension of the delivery period.
14. Confidentiality
